These Terms & Conditions are in addition to the Website Disclaimer, custom Project Proposals, and apply to the sale of all services, products, retainers, consultations, templates, digital products, subscriptions, website projects, branding projects, social media services, creative services, strategy services, educational materials, and custom deliverables purchased, booked, approved, reserved, or otherwise obtained through Vibrational Visuals Agency LLC, operated by Keshia Lo (“Vibrational VA” or “we” or “us”), of 1992 Lewis Turner Blvd, Suite 1067 #2123, Fort Walton Beach, FL 32547, whether through the official website, invoices, proposals, contracts, project agreements, booking forms, payment plans, retainers, client portals, direct communication, or any other purchasing or onboarding method utilized by Vibrational Visuals Agency. In the event of any conflict between our Website Disclaimer, these Terms & Conditions, and any Service-Specific Terms & Conditions which might apply to a specific custom proposal or project agreement, the terms outlined within the signed project agreement or approved proposal shall govern only for the specific project referenced therein, while all remaining Terms & Conditions shall remain in full force and effect.

By proceeding with payment, clicking on the “Buy”/”Purchase” button via Website, or approving commencement of work, you (“you” or “Client”) agree to the terms of this agreement, which will bind you.  If you do not agree to these terms and conditions, you must cease to continue to purchase any Services from us.

Definitions

“Client” means any individual, business, organization, or entity purchasing, booking, reserving, or engaging in Services through the Website, invoice, proposal, retainer, subscription, booking form, payment plan, project agreement, direct communication, or any approved purchasing method utilized by Vibrational Visuals Agency.

“Confidential Information” means information provided by one party to the other in written, graphic, recorded, machine-readable, or other form concerning the business, clients, suppliers, finances, and other areas of the other party’s business or products, including, without limitation, the Course Materials, Tools, Templates, Management Services, and Design Services, but does not include information in the public domain other than through the default of the party disclosing the information, information required to be disclosed by any court or regulatory authority, or any information already in the possession or control of the disclosing party.

“Course Materials” means any educational materials and information, lessons, downloads, resources, presentations, recordings, PDFs, workbooks, templates, or supporting materials provided by Vibrational Visuals Agency LLC to accompany a course or service provided as part of the Services in hard copy or electronic form.

“Design Services” means any design-related services offered by us, including but not limited to branding, graphic design, visual identity, logo design, creative direction, packaging design, print design, social media design, marketing collateral, presentation design, or related creative services, purchased through our Website or via invoice.

“Fees” means the fees paid by you to Vibrational Visuals Agency LLC for the Services, including Tools, Templates, Management Services, and Design Services.

“Intellectual Property Rights” means copyright, rights in or relating to databases, patent rights, performers’ rights, designs and registered designs, trademarks, rights in or relating to Confidential Information, and other intellectual property rights (registered or unregistered) throughout the world.

“Management Services” means any management-related services offered by us, including but not limited to social media management, website management, and brand management, purchased through our Website or via Invoice.

"Project Agreement" means any approved proposal, invoice, contract, statement of work, retainer agreement, email confirmation, booking confirmation, subscription agreement, or written approval outlining the scope, deliverables, timelines, and fees for Services provided by Vibrational Visuals Agency.

“Taught Course” means a course taught by us in a classroom setting to which you attend in person.

“Templates” means any means any downloadable, editable, or customizable documents, graphics, systems, or digital products provided by us or purchased through our Website or via Invoice.

“Tools” means any physical or digital tools, resources, workflows, systems, downloads, automations, software-related resources, or materials provided by us or Services purchased through our Website or via Invoice.

“Services” means the provision of the Online Course, Taught Course, Tools, Templates, Management Services, Design Services, and/or Course Materials including, but not limited to educational materials, lessons, downloads, resources, presentations, recordings, PDFs, workbooks, templates, or supporting materials, together with such other services as agreed from time to time and purchased by you through the Website or via Invoice.

“Website” means www.vibrationalva.com.

“you” means the individual purchasing the Services.

The Services

Vibrational Visuals Agency will provide Services with reasonable care, professional judgment, and creative discretion in accordance with the applicable Website description, approved Project Agreement, invoice, proposal, subscription, or booking confirmation associated with the purchased Services.

Vibrational Visuals Agency reserves the right to modify, discontinue, refuse, pause, or withdraw any Services, packages, subscriptions, templates, pricing structures, offerings, or Website content at any time without prior notice.

The Client understands and agrees that Vibrational Visuals Agency does not guarantee specific business outcomes, revenue increases, social media growth, audience engagement, conversion rates, sales performance, SEO rankings, brand recognition, lead generation, or financial results from any purchased Services.

Any additional services, deliverables, revisions, concepts, formats, dimensions, strategy additions, content additions, or requests not originally outlined within the approved Project Agreement shall require additional approval, updated pricing, revised timelines, or a separate agreement prior to execution.

Project Agreements

All Services purchased through the Website or booked through custom communication shall be governed by these Terms & Conditions in addition to any approved Project Agreement.

Project Agreements may include:

  • HoneyBook proposals

  • invoices

  • retainer agreements

  • subscription agreements

  • statements of work

  • email confirmations

  • written scope approvals

  • booking confirmations

  • payment confirmations

Work will not begin until the applicable Project Agreement has been approved and any required payment obligations have been satisfied.

Any work requested outside the approved scope of Services requires written approval and may require additional fees, revised timelines, or a separate Project Agreement.

Fees and Payment

All fees associated with purchased Services shall be outlined within the applicable proposal, invoice, Website checkout page, retainer agreement, subscription, or Project Agreement.

Unless otherwise agreed upon in writing:

  • payment is due upfront prior to commencement of Services;

  • recurring retainers and subscriptions must remain current to maintain active Services;

  • installment payments must be made according to the agreed payment schedule.

Accepted payment methods may include HoneyBook, Stripe, website checkout, ACH transfer, or any approved payment method designated by Vibrational Visuals Agency.

The Client is solely responsible for any bank fees, payment processor fees, failed payment fees, chargeback fees, or international transaction fees associated with submitted payments.

Non-Refundable Payments

All payments submitted toward consultations, strategy, research, copywriting, administrative labor, creative services, retainers, production time, scheduling, design work, development work, digital services, educational materials, and all time allocated toward the project or any services purchased through Vibrational Visuals Agency are non-refundable once work has commenced.

Once work has commenced, the Client acknowledges that intellectual labor, creative development, planning, and strategic work cannot be returned, reversed, or reclaimed.

If a project is canceled, paused, abandoned, or terminated by the Client after work has begun, the Client remains financially responsible for all completed work, time invested, pending invoices, and applicable fees incurred up to the date of termination.

Refunds will not be issued due to:

  • Change of mind,

  • Delayed responses from the Client,

  • Failure to review deliverables,

  • Subjective design preferences,

  • Business closure,

  • Financial hardship,

  • Third-party interference,

  • Or disagreements arising from strategy or creative direction after approval stages have been completed.

Deposits

Deposits submitted for any booked service, proposal, retainer, or project secure scheduling availability and reserved production time and are non-refundable under all circumstances.

Late Payments

If payment is not received within seven (7) calendar days of the due date, Vibrational Visuals Agency reserves the right to charge late fees, pause Services, restrict access to deliverables, delay timelines, remove scheduling priority, or terminate the applicable Project Agreement.

Breach of Payment

Failure to remit payment fourteen (14) calendar days beyond the due date constitutes a breach of these Terms & Conditions and any applicable Project Agreement. Vibrational Visuals Agency reserves the right to terminate Services immediately and declare all outstanding balances immediately due.

Non-Payment, Suspension & Revocation of Rights
All payments must be made in accordance with the agreed invoice schedule and payment terms outlined within the proposal, invoice, or service agreement.

Failure to submit payment by the due date may result in:

  • Immediate suspension of work,

  • Delayed timelines,

  • Restricted access to deliverables,

  • Removal of access to websites, files, systems, or platforms managed by Vibrational Visuals Agency,

  • And/or project termination at the Agency’s discretion.

Vibrational Visuals Agency reserves the right to withhold all final deliverables, transferable files, website launches, intellectual property usage rights, licenses, or ownership transfers until all outstanding balances have been paid in full.

Any usage of incomplete or unpaid work by the Client prior to full payment shall be considered unauthorized use and may result in legal action.

If an account remains unpaid for an extended period, Vibrational Visuals Agency reserves the right to pursue collections, legal remedies, and reimbursement for any costs associated with recovering unpaid balances, including attorney fees, court costs, and collection expenses where legally permitted.

Chargebacks & Payment Disputes

By purchasing services from Vibrational Visuals Agency, the Client agrees not to initiate chargebacks, payment reversals, or disputes for services that have been rendered, partially rendered, delivered, approved, or actively in progress. Due to the digital and custom nature of creative services, all payments made are considered compensation for time, strategy, creative labor, communication, and project allocation.

The Client agrees to contact Vibrational Visuals Agency directly to attempt resolution before filing any dispute with their financial institution.

Project files, timestamps, email communications, approvals, revision history, meeting records, invoices, contracts, and delivered assets shall serve as valid evidence of services rendered.

Any chargeback filed for completed or partially completed services in violation of these Terms may result in:

  • Immediate suspension of all services,

  • Revocation of licensing and usage rights,

  • Collection efforts for unpaid balances,

  • Legal action where applicable,

Final Deliverables

Final files, editable assets, website transfers, credentials, ownership rights, launch access, or completed deliverables associated with any purchased service shall not be released until all outstanding balances have been paid in full.

Revision

A revision round refers to a consolidated list of requested edits submitted at one time. Multiple scattered requests submitted separately may be treated as additional revision rounds.

Revision limits, deliverables, timelines, and included edits are outlined within any service, package, proposal, retainer, or project agreement purchased through Vibrational Visuals Agency apply only to minor adjustments made to an existing approved design direction or approved deliverable.

Revisions do not include redesigns, entirely new concepts, changes in creative direction, new deliverables, platform changes, substantial structural edits, dimensional changes, or requests that significantly alter previously approved work.

Additional Revisions

Minor edits may still be subject to additional billing if excessive in quantity, frequency, or complexity.

Any revisions exceeding the amount included within the purchased service, package, proposal, or agreement may be billed at additional rates determined by Vibrational Visuals Agency.

Scope Management

Scope Changes

Any requests made outside of the original scope outlined within the purchased service, proposal, invoice, package, retainer, or project agreement may require additional fees, revised timelines, updated deliverables, or a separate agreement at the discretion of Vibrational Visuals Agency.

Vibrational Visuals Agency reserves the sole right to determine whether requested changes constitute additional revisions or fall outside of the agreed-upon project scope.

Approval-Based Workflow

Client approval provided through email, messaging, project management systems, meetings, proposal approvals, or any written communication confirms acceptance of the work presented at that phase of the project.

Requests to revisit, redesign, undo, or substantially alter previously approved work may result in additional revision fees, scope adjustment fees, timeline extensions, or project restructuring fees.

Client Obligations

For all services purchased or contracted through Vibrational Visuals Agency, the Client agrees to:

  • provide all required content, assets, branding materials, copy, credentials, approvals, and information necessary for project completion;

  • submit finalized and accurate project details before work begins;

  • review and approve deliverables within five (5) business days unless otherwise stated;

  • provide clear and consolidated feedback during revision rounds;

  • proofread and verify all final content prior to approval.

The Client acknowledges that all work will be based upon the materials, instructions, direction, and information originally provided at the beginning of the project.

Any additional information, evolving direction, incomplete instructions, missing content, or newly introduced requirements after work has commenced may be treated as revisions or out-of-scope requests requiring additional fees.

Examples include but are not limited to:

  • adding new offers, messaging, or copy after design has started;

  • changing dimensions or platform specifications;

  • introducing incomplete details after work begins;

  • requesting additional variations not originally agreed upon.

Vibrational Visuals Agency shall not be responsible for delays caused by incomplete information, delayed communication, evolving direction, missing assets, conflicting instructions, or untimely approvals provided by the Client.

Automatic Approval & Response Time

The Client agrees to review and provide feedback, approvals, requested assets, or revision requests within five (5) business days unless otherwise stated in writing.

Failure to respond within this timeframe may be considered automatic approval of the most recently delivered work, allowing the project to proceed to the next phase.

Project timelines, delivery dates, and launch schedules are dependent upon timely communication and approvals from the Client. Delays in response may result in timeline extensions, scheduling conflicts, or additional fees.

Vibrational Visuals Agency reserves the right to close or pause inactive projects after extended periods of non-communication.

Communication & Conduct

All project communication, approvals, revision requests, feedback, file submissions, and confirmations relating to any purchased service must be submitted through approved written communication channels designated by Vibrational Visuals Agency.

Respectful Conduct

Vibrational Visuals Agency reserves the right to terminate services, retainers, proposals, or project agreements immediately and without refund in cases involving harassment, abuse, threats, discrimination, hostility, inappropriate conduct, or repeated disrespectful behavior toward Vibrational Visuals Agency or its representatives.

Project Timelines & Delays

Timeline Extensions

All project timelines, delivery estimates, launch dates, and turnaround times are contingent upon timely communication, approvals, and delivery of required materials by the Client.

Delays caused by late responses, missing assets, delayed approvals, scheduling interruptions, or incomplete information provided by the Client may result in adjusted timelines and revised delivery dates.

Project Abandonment

Projects that remain inactive due to lack of communication, missing content, delayed approvals, or failure to provide required materials for fourteen (14) consecutive calendar days may be considered abandoned at the discretion of Vibrational Visuals Agency.

Abandoned projects may be archived, removed from the active project schedule, or closed entirely.

If the Client wishes to resume an abandoned project, a reactivation fee may apply and revised timelines, pricing, or scope adjustments may be required based on current availability and project status.

Vibrational Visuals Agency is not responsible for delays, missed launch dates, or scheduling conflicts caused by Client inactivity.

All payments made prior to abandonment remain non-refundable.

Reactivation Fees

Abandoned, paused, or inactive projects may require reactivation fees, revised timelines, updated pricing, or a newly executed agreement before work resumes. Vibrational Visuals Agency is not obligated to maintain original scheduling availability for delayed or inactive projects.

Rush Requests

Expedited timelines, priority scheduling, compressed deadlines, or rush turnaround requests for any service may incur additional rush fees at the discretion of Vibrational Visuals Agency.

Website Design & Development Terms

Third-Party Platforms

Website-related services purchased through Vibrational Visuals Agency may involve the use of third-party platforms, plugins, themes, hosting providers, applications, integrations, or software systems.

Vibrational Visuals Agency shall not be held liable for outages, software bugs, discontinued features, pricing changes, platform limitations, compatibility issues, security breaches, or functionality interruptions caused by third-party providers.

Browser & Device Compatibility

Websites are designed to function across modern browsers and responsive screen sizes; however, slight visual or functional variations may occur depending on browser versions, operating systems, device settings, software updates, or third-party integrations.

Hosting & Domain Responsibility

Unless otherwise outlined within a custom maintenance agreement, the Client remains solely responsible for maintaining hosting services, domain registrations, SSL certificates, plugin subscriptions, software renewals, third-party licenses, and platform-related expenses following project completion.

Post-Launch Changes

Any edits, maintenance requests, troubleshooting, updates, redesigns, content uploads, or modifications requested after final approval, launch, or project completion may require additional fees unless explicitly included within an active maintenance or retainer agreement.

SEO & Performance Disclaimer

Vibrational Visuals Agency does not guarantee specific search engine rankings, traffic increases, advertising performance, lead generation results, sales performance, audience growth, engagement metrics, or conversion outcomes for any service purchased.

Compliance Disclaimer

Unless explicitly stated in writing, Vibrational Visuals Agency does not guarantee compliance with ADA, WCAG accessibility standards, HIPAA regulations, PCI compliance, legal regulations, search engine rankings, lead generation results, sales performance, or other industry-specific compliance requirements.

The Client is solely responsible for reviewing, approving, maintaining, and ensuring ongoing legal and operational compliance of their website, content, and business practices after launch.

Style Acknowledgment & Creative Direction

By purchasing Services through the Website or custom Project Agreement, the Client confirms they have reviewed Vibrational Visuals Agency’s portfolio, branding style, design approach, and creative direction and have a reasonable expectation of the creative style and quality associated with the Services.

The Client understands and agrees that:

  • creative work is inherently subjective;

  • each project differs based on goals, audience, budget, and creative needs;

  • Vibrational Visuals Agency operates with an independent and evolving creative vision;

  • Vibrational Visuals Agency may utilize professional creative judgment when executing Services.

Dissatisfaction based solely upon subjective creative preference, evolving taste, or disagreement with creative judgment does not constitute grounds for refunds, chargebacks, or termination without applicable fees.

Once a concept, design direction, or deliverable has been approved by the Client, any major changes requested afterward may be treated as additional scope or a new project.

Intellectual Property

All educational materials, templates, downloads, Course Materials, resources, recordings, systems, and proprietary business processes remain the intellectual property of Vibrational Visuals Agency unless otherwise stated in writing.

The Client may not:

  • reproduce;

  • resell;

  • redistribute;

  • sublicense;

  • repurpose;

  • copy;

  • modify;

  • reverse engineer;

  • teach from;

  • commercially exploit;

  • share;

  • upload;

  • distribute

any proprietary materials, educational content, templates, or systems provided by Vibrational Visuals Agency without written permission.

Violation of this section may result in immediate termination of access to Services and legal action where permitted by law.

Ownership Transfer

All intellectual property rights, ownership rights, licensing rights, and usage rights to final approved deliverables created by Vibrational Visuals Agency through any service purchased via the website, invoice, proposal, retainer, project agreement, booking system, or custom engagement shall transfer to the Client only upon receipt of full and final payment of all outstanding balances associated with the applicable service or project.

Until payment has been received in full, all concepts, drafts, strategies, designs, website files, creative materials, visual systems, written materials, mockups, deliverables, and project assets remain the sole property of Vibrational Visuals Agency.

Preliminary Concepts & Unused Work

Any preliminary concepts, rejected designs, draft materials, strategy documents, moodboards, exploratory concepts, mockups, sketches, presentations, unused deliverables, or creative directions developed during any service purchased or booked through Vibrational Visuals Agency remain the exclusive intellectual property of Vibrational Visuals Agency unless otherwise agreed upon in writing.

External Designers & Third-Party Contributions

Vibrational Visuals Agency is not responsible for the performance, originality, legality, functionality, trademark availability, strategic effectiveness, or compatibility of any third-party assets, designs, logos, branding systems, templates, AI-generated content, or materials provided, purchased, commissioned, or sourced by the Client from outside vendors or creators.

If the Client chooses to incorporate externally developed materials into the project, Vibrational Visuals Agency’s role may shift from original identity development to adaptation, refinement, or implementation within an existing framework.

The Client acknowledges that introducing third-party creative work may affect:

  • Brand consistency,

  • Creative direction,

  • Project timelines,

  • Portfolio usage rights,

  • Ownership attribution,

  • Strategic cohesion,

  • And deliverable functionality.

Vibrational Visuals Agency shall not be held liable for disputes involving third-party authorship, ownership claims, licensing conflicts, trademark conflicts, or creative inconsistencies related to externally sourced materials.

Third-Party Modifications

If a Client chooses to involve, hire, or collaborate with third-party designers, developers, strategists, agencies, AI platforms, or other external contributors during or after the project, Vibrational Visuals Agency shall not be held responsible for inconsistencies, altered outcomes, diluted strategy, implementation errors, or deviations from the originally intended creative direction or brand system.

In cases where foundational elements of the project are modified, replaced, externally sourced, or substantially altered by third parties, Vibrational Visuals Agency reserves the right to:

  • Remove itself from public or private authorship association with the project,

  • Decline portfolio attribution,

  • Refuse continued collaboration,

  • Or publicly clarify the scope of work completed by Vibrational Visuals Agency.

The Client acknowledges that combining or altering deliverables outside of the Agency’s direction may compromise the integrity, performance, consistency, or intended strategic outcome of the work.

White Label & Attribution

Unless otherwise agreed upon in writing, Vibrational Visuals Agency retains the right to authorship acknowledgment and portfolio usage for all work produced through any purchased or contracted service. Requests involving white-label arrangements, removal of attribution, non-disclosure restrictions, or exclusive ownership accommodations may require additional fees and separate agreements.

Portfolio Rights

Vibrational Visuals Agency retains the right to display, publish, reproduce, and promote work created through any purchased Services for portfolio usage, social media, educational purposes, advertising, presentations, case studies, competitions, marketing materials, and promotional content unless otherwise agreed upon in writing.

Confidentiality

Each party agrees to maintain the confidentiality of any Confidential Information exchanged during the course of purchased Services and to use such information solely for the purpose of fulfilling obligations related to the applicable Services or Project Agreement.

Upon termination of Services, each party agrees to return or revoke access to confidential materials, credentials, and sensitive information belonging to the other party.

Confidentiality obligations survive termination of Services.

Third-Party Content

The Client is solely responsible for ensuring they possess the legal rights, permissions, licenses, and authorizations necessary to use any fonts, images, stock photography, software, plugins, templates, mockups, music, graphics, integrations, logos, copy, videos, trademarks, or other licensed materials that may be subject to separate licensing agreements supplied to Vibrational Visuals Agency.

Vibrational Visuals Agency shall not be held liable for copyright infringement, trademark disputes, licensing violations, or legal claims arising from Client-provided materials.

Cancellation and Changes

Client-Initiated Cancellation

The Client may cancel purchased Services at any time through written notice. All payments made prior to cancellation remain non-refundable, and all completed work, reserved production time, strategy development, or completed deliverables remain billable.

Service Provider-Initiated Termination

Vibrational Visuals Agency reserves the right to terminate Services immediately if the Client:

  • breaches payment obligations;

  • violates these Terms & Conditions;

  • fails to cooperate;

  • repeatedly delays the project;

  • engages in abusive or inappropriate conduct;

  • violates intellectual property provisions.

In such cases, all outstanding balances become immediately due.

If Vibrational Visuals Agency is unable to fulfill Services due to unforeseen circumstances, Vibrational Visuals Agency may, at its discretion, issue a partial credit, refund, substitute solution, or revised timeline based upon the percentage of Services completed.

Termination

Vibrational Visuals Agency reserves the right to terminate Services immediately for:

  • non-payment;

  • abusive behavior;

  • harassment;

  • fraudulent conduct;

  • theft;

  • plagiarism;

  • misuse of intellectual property;

  • breach of confidentiality;

  • illegal conduct;

  • intoxication during in-person services or events;

  • violation of these Terms & Conditions.

Upon termination, all provisions relating to intellectual property, confidentiality, payment obligations, portfolio rights, limitation of liability, indemnification, and governing law shall survive termination.

Limitation of Liability

Vibrational Visuals Agency does not guarantee specific financial, marketing, social media, advertising, branding, SEO, engagement, conversion, audience growth, or business-related outcomes from any purchased service.

Limitation of Damages

To the fullest extent permitted by law, Vibrational Visuals Agency shall not be held liable for indirect, incidental, consequential, special, punitive, reputational, or financial damages arising from the use of services purchased through Vibrational Visuals Agency including, but not limited to:

  • inaccurate interpretation of Services;

  • business losses;

  • lost profits;

  • data loss;

  • missed opportunities;

  • platform outages;

  • indirect damages;

  • consequential damages;

  • reputational damages;

  • advertising performance;

  • social media performance;

  • SEO performance;

  • third-party failures.

The total liability of Vibrational Visuals Agency arising from purchased Services shall not exceed the total fees paid by the Client for the specific Services giving rise to the claim.

No claim may be brought more than six (6) months after completion or termination of the applicable Services.

Nothing within these Terms & Conditions excludes liability where such exclusion is prohibited under Florida law.

Indemnification

You agree to indemnify, defend, and hold harmless Vibrational Visuals Agency LLC, its owners, employees, contractors, affiliates, and representatives from any claims, damages, liabilities, losses, legal disputes, expenses, or causes of action arising from:

  • Client-provided materials;

  • misuse of deliverables;

  • violation of intellectual property rights;

  • breach of these Terms & Conditions;

  • unlawful use of Services;

  • inaccurate information provided by the Client.

Force Majeure

Vibrational Visuals Agency shall not be liable for delays, interruptions, inability to perform purchased Services, or any breach of its obligations or termination under these terms and conditions resulting from causes beyond its reasonable control, including, but not limited to, natural disasters, fires, floods, earthquakes, volcanoes and other Acts of God, terrorism, cyberattacks, internet outages, software failures, strikes, delay caused by transport disruptions, a death in the family, labor disputes, illness, Government actions or regulation, or third-party platform outages.

Governing Law

These Terms & Conditions and all Services purchased through Vibrational Visuals Agency shall be governed by and interpreted in accordance with the laws of the State of Florida. The parties agree to submit to the exclusive jurisdiction of the courts located within the State of Florida for resolution of any disputes.

Entire Agreement
